1. Professional-Use Platform

Numa Medi Solutions is a gated professional platform intended for licensed medical professionals, qualified healthcare practices, approved business users, and supplier partners.

Numa Medi Solutions is not intended for general consumer use. Access to product information, supplier details, pricing, ordering features, and related platform services may be limited to approved users only.

2. Eligibility

To apply for or use Numa Medi Solutions, you must be at least 18 years old and legally authorized to act on behalf of yourself, your practice, your business, or your organization.

If you are applying as a licensed medical professional or on behalf of a healthcare practice, you represent that all information submitted is true, current, complete, and accurate.

Numa Medi Solutions may approve, deny, suspend, or revoke access at any time based on provider eligibility, licensing status, supplier requirements, compliance concerns, business discretion, or violation of these Terms.

3. Provider Verification

Because access to Numa Medi Solutions is restricted, users may be required to submit information for review and verification. This may include:

• Name and contact information
• Practice or business information
• Professional title or role
• License type, license number, and state of licensure
• NPI number, if applicable
• Business address
• Practice type
• Product categories of interest
• Additional documentation reasonably requested by Numa Medi Solutions

Submission of an application does not guarantee approval. Numa Medi Solutions reserves the right to deny access for any reason permitted by law.

4. Account Registration and Security

Approved users may be required to create an account to access the platform.

You are responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account. You agree not to share your login information with unauthorized individuals or allow access by anyone who has not been approved by Numa Medi Solutions.

You must notify Numa Medi Solutions promptly if you believe your account has been compromised or used without authorization.

5. Professional Responsibility

Products and information made available through Numa Medi Solutions are intended for professional evaluation and use by qualified providers.

You are solely responsible for determining whether any product, supplier, category, or service is appropriate for your practice, license, patients, business model, state regulations, professional obligations, and intended use.

Numa Medi Solutions does not provide medical advice, diagnose conditions, prescribe treatment, direct patient care, or determine whether any product is appropriate for a specific patient.

All clinical, medical, professional, regulatory, and patient-facing decisions remain solely the responsibility of the licensed provider or authorized healthcare professional.

6. No Medical Advice

Information provided through Numa Medi Solutions, including product descriptions, supplier materials, educational content, platform communications, or business information, is for professional informational purposes only.

Nothing provided by Numa Medi Solutions should be interpreted as medical advice, diagnosis, treatment recommendation, prescribing guidance, patient instruction, or a substitute for independent professional judgment.

7. Product Information and Supplier Materials

Numa Medi Solutions may display or provide access to product information, supplier descriptions, product documentation, availability details, pricing, fulfillment information, and related materials.

Some information may be provided by third-party suppliers, manufacturers, fulfillment partners, or other external sources. Numa Medi Solutions makes reasonable efforts to present accurate information but does not guarantee that all product descriptions, availability, specifications, pricing, images, documentation, or supplier materials are complete, current, or error-free.

Users are responsible for reviewing all supplier-provided materials, product documentation, labeling, storage requirements, handling instructions, warnings, and applicable compliance information before purchasing or using any product.

Numa Medi Solutions reserves the right to limit quantities, cancel orders, restrict product access, remove products, update product categories, or modify platform offerings at any time.

9. Orders and Purchases

By placing an order through Numa Medi Solutions, you represent that you are authorized to make the purchase on behalf of yourself, your practice, business, or organization.

All orders are subject to review, payment authorization, provider verification, supplier acceptance, inventory availability, shipping availability, and compliance requirements.

Numa Medi Solutions may refuse, cancel, delay, or limit any order for reasons including, but not limited to:

• Incomplete or inaccurate account information
• Provider verification issues
• Supplier restrictions
• Product unavailability
• Payment issues
• Shipping restrictions
• Suspected fraud or unauthorized activity
• Compliance concerns
• Violation of these Terms

10. Pricing and Payment

Pricing, fees, taxes, shipping charges, handling charges, platform fees, supplier fees, or other charges may vary by product, supplier, location, order size, and account type.

Prices are subject to change without notice. Numa Medi Solutions is not responsible for typographical errors, pricing errors, supplier pricing changes, or unavailable offers.

Payment must be made through approved payment methods. By submitting payment information, you represent that you are authorized to use the selected payment method.

11. Shipping, Returns, and Refunds

Shipping, delivery, damaged shipment claims, cancellations, returns, and refunds are governed by Numa Medi Solutions’ applicable Shipping Policy and Refund & Return Policy.

Certain products may be non-returnable due to safety, regulatory, sterility, temperature-control, supplier, or product integrity requirements.

12. Supplier Partners and Third-Party Services

Numa Medi Solutions may work with independent supplier partners, manufacturers, fulfillment providers, payment processors, shipping carriers, technology providers, and other third-party service providers.

Numa Medi Solutions is not responsible for the acts, omissions, products, services, claims, representations, or policies of independent third-party suppliers or service providers.

13. Compliance With Laws and Professional Requirements

You agree to use Numa Medi Solutions only in compliance with all applicable federal, state, and local laws, rules, regulations, licensing requirements, professional standards, and business obligations.

You are solely responsible for ensuring that your purchase, possession, storage, handling, resale, recommendation, administration, dispensing, or use of any product complies with applicable laws and professional requirements.

Numa Medi Solutions does not guarantee that any product is lawful, appropriate, permitted, or available in every state, jurisdiction, license type, practice setting, or clinical context.

14. Prohibited Uses

You agree not to use Numa Medi Solutions for any unlawful, unauthorized, misleading, abusive, or prohibited purpose.

Prohibited conduct includes, but is not limited to:

• Providing false, misleading, incomplete, or fraudulent information
• Applying for access without proper authority
• Sharing account access with unauthorized individuals
• Purchasing products for unauthorized resale or consumer distribution
• Using products or information in violation of applicable laws or license requirements
• Misrepresenting your qualifications, credentials, or business purpose
• Interfering with platform security or functionality
• Attempting to access restricted areas without authorization
• Copying, scraping, harvesting, or misusing platform content or supplier information
• Uploading malicious code, spam, or harmful content
• Using the platform in a way that could harm Numa Medi Solutions, suppliers, providers, patients, or other users

Violation of this section may result in suspension, termination, order cancellation, reporting to appropriate parties, or other action deemed necessary by Numa Medi Solutions.

15. Patient Information

Unless a separate written agreement states otherwise, you should not submit patient medical records, protected health information, diagnosis information, treatment records, or patient-identifiable health information through public-facing forms, provider applications, general contact forms, or standard platform communications.

If a separate written agreement involving protected health information is executed, such information will be handled according to that agreement and applicable law.

16. Intellectual Property

All content, design, text, graphics, logos, platform features, software, workflows, layout, branding, and other materials made available by Numa Medi Solutions are owned by or licensed to Numa Medi Solutions, unless otherwise stated.

You may not copy, reproduce, modify, distribute, display, sell, reverse engineer, or create derivative works from Numa Medi Solutions content or platform materials without prior written permission.

Supplier materials may be owned by the applicable supplier or manufacturer and may be subject to additional restrictions.

17. User Submissions

If you submit information, messages, documents, feedback, suggestions, business information, or other content to Numa Medi Solutions, you represent that you have the right to provide that information and that it is accurate to the best of your knowledge.

You grant Numa Medi Solutions the right to use submitted information as reasonably necessary to review applications, manage accounts, provide services, process orders, communicate with you, coordinate with suppliers, improve the platform, and operate the business.

18. Platform Access and Availability

Numa Medi Solutions may update, modify, suspend, restrict, or discontinue any part of the platform at any time.

We do not guarantee that the platform will always be available, uninterrupted, error-free, secure, or compatible with every device, browser, or system.

Numa Medi Solutions is not liable for delays, interruptions, data loss, system failures, maintenance, supplier outages, carrier delays, payment processor issues, or events outside of our reasonable control.

19. Account Suspension or Termination

Numa Medi Solutions may suspend, restrict, or terminate your account or platform access at any time if we believe that:

• You violated these Terms
• Your information is inaccurate or incomplete
• Your license or eligibility cannot be verified
• A supplier or compliance requirement restricts access
• Payment issues occur
• Fraud, misuse, or unauthorized activity is suspected
• Continued access may create legal, regulatory, business, supplier, or security risk

Termination or suspension may result in cancellation of pending orders, restricted access to platform features, and loss of eligibility to purchase through Numa Medi Solutions.

20. Disclaimers

Numa Medi Solutions provides the platform, services, content, and product access on an “as available” and “as is” basis.

To the fullest extent permitted by law, Numa Medi Solutions disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and suitability for any specific professional, clinical, business, or patient-related purpose.

Numa Medi Solutions does not warrant or guarantee any particular result, outcome, benefit, business performance, clinical outcome, product effect, patient response, supplier availability, or regulatory determination.

21. Limitation of Liability

To the fullest extent permitted by law, Numa Medi Solutions shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost revenue, loss of data, business interruption, reputational harm, product loss, patient-related claims, or regulatory consequences.

Numa Medi Solutions’ total liability for any claim related to the platform, services, products, orders, or these Terms shall not exceed the amount paid by you to Numa Medi Solutions for the specific order or service giving rise to the claim, unless otherwise required by law.

22. Indemnification

You agree to defend, indemnify, and hold harmless Numa Medi Solutions, its owners, officers, employees, contractors, affiliates, suppliers, service providers, and partners from and against any claims, damages, liabilities, losses, costs, expenses, demands, regulatory actions, or legal fees arising from or related to:

• Your use of the platform
• Your purchase, handling, storage, resale, recommendation, administration, or use of products
• Your violation of these Terms
• Your violation of applicable laws, regulations, professional standards, or license requirements
• Your submission of inaccurate or unauthorized information
• Your patient-facing activities, clinical decisions, or professional services
• Your misuse of supplier materials, product information, or platform content

23. Force Majeure

Numa Medi Solutions is not responsible for delays, failures, losses, or inability to perform caused by events outside of our reasonable control, including weather events, natural disasters, labor disputes, supply chain disruptions, carrier delays, supplier shortages, cyber incidents, power outages, acts of government, public health events, regulatory changes, war, terrorism, or other unforeseeable circumstances.

24. Governing Law and Venue

These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of Alabama, without regard to conflict of law principles.

To the fullest extent permitted by law, any dispute, claim, or legal proceeding arising out of or relating to these Terms, the Numa Medi Solutions platform, services, products, orders, account access, or related business activities shall be brought in the appropriate state or federal courts located in Alabama.

By using Numa Medi Solutions, you consent to the personal jurisdiction and venue of courts located in Alabama and waive any objection to such jurisdiction or venue, unless otherwise required by applicable law.

25. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

Any invalid, unlawful, or unenforceable provision may be modified or interpreted to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision as closely as possible.

26. Entire Agreement

These Terms, together with any applicable policies, agreements, order terms, supplier requirements, and platform rules referenced or provided by Numa Medi Solutions, constitute the entire agreement between you and Numa Medi Solutions regarding your access to and use of the platform.

27. Changes to These Terms

Numa Medi Solutions may update these Terms of Service from time to time. When changes are made, the effective date listed at the top of this page will be updated.

Continued use of the platform or services after updated Terms are posted or provided means you accept the updated Terms.
